CleanPaper Terms of Service
Effective date: October 20, 2026 (version 4)
These Terms of Service ("Terms") are an agreement between EliteWicks LLC, a Florida limited liability company doing business as CleanPaper ("CleanPaper", "we", "us"), and the agency that creates a CleanPaper account ("you", "your agency"). By creating an account, starting a trial or using CleanPaper, you agree to these Terms on behalf of your agency, and you confirm you are authorized to do so.
Questions or notices: support@cleanpaper.io. Our Privacy Policy explains how we handle personal information and is part of these Terms.
1. What CleanPaper is
CleanPaper is online software for insurance agencies to onboard, train and manage their own agents: onboarding journeys, lessons and knowledge checks, internal certifications, call scripts, product information, a state law reference directory, and manager tools.
CleanPaper is a training and management tool. It is not an insurance agency, a licensing body, a carrier, a law firm or a compliance service, and it does not sell or recommend insurance to consumers.
2. Accounts and people
- The person who creates the account is the agency's owner and controls the account, its settings and its billing.
- The owner may invite managers and agents. Each person must have their own login. Sharing logins is not allowed.
- You are responsible for everything done through your agency's account, and for keeping passwords secure. Tell us promptly at support@cleanpaper.io if you believe an account has been compromised.
- People using CleanPaper must be at least 18 years old.
3. Trial, subscription and billing
- Price. CleanPaper costs $30 per person per month. Everyone on your agency's roster, including the owner and managers, counts as a seat. Every agency pays for at least 3 seats ($90 a month). Annual billing is available for agencies of 10 or more people at $300 per person per year.
- Free trial. New agencies get a 7-day free trial. A payment method is required to start it. Unless you cancel before the trial ends, your subscription starts automatically and you are charged at the end of the trial. The owner gets an email reminder before the trial ends (at least 3 days ahead for a 7-day trial) with the date of the first charge.
- Renewal. Subscriptions renew automatically each month or year until canceled. For annual plans, we email the owner at least 30 days before each renewal.
- Payment processor and reseller. Payments are processed by Polar (polar.sh), which acts as the merchant of record and reseller for CleanPaper subscriptions, calculates and collects applicable sales taxes, and handles receipts and invoices. When you pay, you also agree to Polar's buyer terms as shown at checkout.
- Which terms govern what. Polar's buyer terms govern payment processing, charges and payment disputes with Polar. These Terms govern your use of CleanPaper and our relationship with you. If the two conflict about the CleanPaper service, these Terms control. All amounts paid through Polar for CleanPaper count as amounts paid for CleanPaper under these Terms.
- Seats. You choose a starting number of seats at checkout. After that, seats follow your agency's active roster: we check it daily and update your subscription to match (never fewer than 3). Deactivated people don't count. Changes apply from your next renewal, with no charges or credits in the middle of a billing period. Whenever the seat count changes, we email the owner the new seat count and price before it applies. This applies to annual plans too: an annual plan stays annual at renewal even if your roster has dropped below 10, with the same 3-seat minimum.
- Price changes. We may change prices with at least 30 days' notice by email to the owner. Changes apply from your next billing period after the notice. Annual plans keep their price until renewal: a price change applies only from the next renewal.
- Failed payments. If a payment fails, Polar retries it and your agency keeps access for 7 days. Everyone in the agency sees a notice, and the owner can update the payment method from the Billing page. If it isn't updated within 7 days, access pauses until it is.
4. Cancellation and refunds
- The owner can cancel at any time from the Billing page. You won't be charged again. We email the owner to confirm the cancellation, with the date access ends and the date the agency's data will be deleted.
- After you cancel, your whole team keeps access until the end of the trial or the period you've already paid for, and loses access on that date.
- Refunds. Payments are non-refundable, including for partial periods and unused seats, except that the owner may request a full refund of the first charge by emailing support@cleanpaper.io, on the same day that charge is made, if no agents, managers or other employees have joined the agency and the agency's setup has not been completed. Renewals and later charges are not refundable. Where the law requires a refund, we will provide it.
- Your data after cancellation. Your agency's setup and records are kept for 30 days after your subscription ends, so you can restart without losing anything. After that, they are permanently deleted (section 8).
5. Your agency's responsibilities
You are solely responsible for:
- Licensing and appointments. Making sure every person who sells or discusses insurance for your agency holds the required licenses and carrier appointments in each state where they do so.
- Compliance. Your agency's compliance with all laws and rules that apply to your business, including insurance laws and regulations, telemarketing and consent laws (such as the TCPA and Do Not Call rules), call-recording consent laws, privacy laws, and carrier and marketing-partner requirements.
- Supervision. Training, supervising and approving your agents, and every decision about whether an agent is ready to take live calls.
- Your content. The accuracy and lawfulness of everything your agency adds to CleanPaper: products, scripts, pay plans, policies, playbook text, documents and settings.
6. Training content, state rules and certifications
- Using our training material. While your agency is subscribed, your people may view, print and use CleanPaper's lessons, scripts and other material for your agency's internal training. Copies you make for your own records may be kept after your subscription ends, for internal use only. This doesn't allow reselling or publishing the material, or using it to build a competing product.
- Educational only. CleanPaper's lessons, knowledge checks, glossary and State Law Directory are general educational material. They are not legal, tax or compliance advice, may not reflect the latest changes to laws, regulations or carrier rules, and may not apply to your situation. Always confirm requirements with the relevant regulator, carrier or a qualified professional.
- Certifications are internal. A CleanPaper certification (for example "Sales Ready") is your agency's internal record that a person completed training, passed knowledge checks and, where required, received a manager's sign-off. It is not an insurance license, a carrier appointment, continuing-education credit or any government or industry credential, and must not be presented as one.
- AI-assisted features. Some features, such as filling settings from your uploaded documents and the AI chat, use artificial intelligence. They send the relevant text or files to our AI provider (OpenRouter), which passes them to AI model providers. Some of those providers may use what they receive to improve their models, under their own terms. Uploaded documents are read once and not kept by CleanPaper. Don't use these features with content you are not comfortable sharing that way. Suggestions can be wrong or incomplete, and you must review every suggestion before saving it.
7. Acceptable use
You and your people must not:
- upload or store consumers' or clients' protected health information, Social Security numbers, bank or card numbers, or other sensitive personal data about insurance customers. CleanPaper is not designed or contracted to hold that data, and is not a HIPAA business associate.
- use CleanPaper to break any law or to mislead consumers;
- share logins, resell access, or let people outside your agency use your account;
- copy, scrape, reverse engineer or attempt to bypass CleanPaper's security or usage limits;
- upload malware or content you don't have the right to use.
We may suspend access that breaks these rules, and will tell the owner why when we can.
If prohibited data is uploaded by mistake, tell us at support@cleanpaper.io and we will delete it within 2 business days. If we find it ourselves, we may delete it and will tell the owner.
8. Your data
- You own your agency's data: your content, your people's records and the documents they upload.
- You give us permission to host, process and display that data only to provide and support CleanPaper for you, as described in our Privacy Policy.
- We may use aggregated, de-identified statistics (for example, how many lessons are completed across all agencies) to operate and improve CleanPaper. These never identify your agency or any person.
- Confidentiality. We keep your agency's data confidential. Our staff and service providers access it only as needed to provide and support CleanPaper, and our service providers are required to protect it. We never try to identify an agency or a person from aggregated, de-identified statistics. This promise continues after your subscription ends.
- Access by CleanPaper staff. Our administrators can open an agency in a read-only view to support it, and cannot change anything while doing so. Each time they do, it is recorded on the owner's Activity page as a view by CleanPaper support.
- Export. While your agency is subscribed, the owner can download its records at any time from Export your data (in the account menu), as spreadsheet files with links to every uploaded document.
- Export before deletion. During the 30 days after your subscription ends, the owner can ask us at support@cleanpaper.io for an export of the agency's records: people, training progress, knowledge-check results, certifications and signed acknowledgments (as spreadsheet files), the agency's own content and settings, such as call scripts, products, playbook text and pay plans (as spreadsheet or text files), and uploaded documents (as the original files). We will provide it within 10 business days of the request.
- Security incidents. If we confirm a security breach that exposes your agency's data, we will notify the owner within 72 hours of confirming it, with what we know and what we are doing about it.
- Deletion. When a subscription ends (by cancellation, non-payment or termination), we permanently delete the agency's data, including its people's records and uploaded documents, 30 days after the subscription ends. We email the owner when access ends and again before deletion. The owner can also ask us to delete the data sooner by emailing support@cleanpaper.io. We may keep billing and tax records, and records we must keep by law. Deleted data cannot be recovered.
9. Suspension and termination
We may suspend or end an account that breaks these Terms, fails to pay (after the 7-day grace period in section 3), or puts CleanPaper, other customers or the public at risk. Except where there is an urgent risk of harm, we will email the owner first, explain the problem and give at least 7 days to fix it. If we end your subscription for any reason other than your breach of these Terms or non-payment, we will refund any prepaid fees for the unused period, and the owner can still get an export of the agency's data (section 8). You may stop using CleanPaper at any time by canceling.
10. Disclaimers
CleanPaper is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't promise CleanPaper will be uninterrupted or error-free, or that its content is complete, current or accurate.
11. Limitation of liability
To the fullest extent the law allows:
- we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, commissions, data or goodwill; and
- our total liability for any claim relating to CleanPaper is limited to the amounts your agency paid or owed for CleanPaper, including through Polar, in the 12 months before the claim arose.
These limits do not apply to our fraud, gross negligence or willful misconduct, or to liability that cannot be limited by law.
12. Indemnities
Your agency's indemnity. Your agency will defend EliteWicks LLC against any claim brought by a third party (including a regulator), and pay the resulting damages, fines and reasonable costs, to the extent the claim is caused by your agency's or your people's breach of these Terms, your content, your sales and marketing activity, or your violation of any law. This does not cover anything caused by CleanPaper's own acts or omissions.
Our indemnity. We will defend your agency against any claim brought by a third party that the CleanPaper software, as we provide it, infringes that party's United States patent, copyright or trademark, or misappropriates its trade secret, and pay the resulting damages and reasonable costs. If such a claim is made or likely, we may modify CleanPaper so it doesn't infringe, get the right for you to keep using it, or, if neither is reasonably possible, end the subscription and refund any prepaid fees for the unused period. This does not cover claims caused by your content, by combining CleanPaper with things we didn't provide, or by use that breaks these Terms.
How it works. The party asking to be defended must tell the other promptly in writing, let the defending party control the defense and any settlement, and cooperate reasonably. No settlement may admit fault for, or impose obligations on, the defended party without its written consent.
13. Changes to these Terms
We may update these Terms. For material changes we will email the owner at least 30 days in advance, and they take effect for your agency at your next renewal after that notice (for monthly plans, the next monthly renewal; for annual plans, the next annual renewal). Renewing after that means you accept the updated Terms. Changes that are not material, such as clarifications and corrections, take effect when posted here, and we keep past versions available on request.
14. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute will be brought exclusively in the state courts located in Broward County, Florida, or the federal courts for the Southern District of Florida, and both parties consent to their jurisdiction and venue.
15. Other terms
- These Terms, together with the Privacy Policy, are the whole agreement between us about CleanPaper.
- If any part is found unenforceable, the rest still applies.
- Not enforcing a right is not a waiver of it.
- You may not transfer this agreement without our written consent. We may transfer it as part of a merger, acquisition or sale of the business, but only to a buyer that takes on these Terms, and we will email the owner when that happens.
- Notices to us: support@cleanpaper.io. Notices to you: the owner's email address on the account.
